We are able to assist with the legal, regulatory and compliance issues arising across the asset management sector – and whether the underlying assets in question are managed within segregated portfolios or pooled within a mutual fund, hedge fund or other collective scheme.
Our experience includes the setting up of a variety of funds and associated structures, including unit trusts, real estate funds, hedge funds and open-ended investment companies.
In particular, our expertise lies in advising market entrants or established institutions on whether particular structures constitute "collective investment schemes" (regulated or otherwise). We can advise on the legal and regulatory consequences of proposed arrangements in terms of any authorisation requirements, the ability to promote the scheme to potential investors and the on-going responsibilities for the fund and those connected with it.
As well as advising asset managers, sponsors, promoters and the operators of funds, we can also assist those who provide related services to funds or asset managers, such as administration, custody, trade execution, broking or advisory services or activities.
We have often played a pivotal role in projects to establish funds which involve an international dimension, in terms of advising on domestic legal and regulatory considerations and also co-ordinating overseas and other advisers in respect of multi-jurisdictional considerations.
