One of our core offerings is the provision of support to clients or their advisers – whether lawyers or consultants – on mergers, acquisitions, takeovers, disposals or restructurings.
Our wide range of transactional experience and familiarity with the regulatory regime positions us well to be able to advise on the regulatory considerations implicit in transactions involving UK or overseas regulated businesses. We have been regularly involved in the consolidation and reorganisation of regulated entities in the financial services sector and have acted on business transfers in the banking and insurance industries.
Amongst other things, we can provide advice and support with:
- transaction planning, including the regulatory considerations behind – and drivers of – acquisition and holding structures;
- regulatory due diligence and risk identification;
- FSA relationship management, including change in control applications;
- contractual negotiations and documentation, including appropriate warranty protection and conditions to completion in acquisition agreements, outsourcing and transitional services arrangements; and
- post-acquisition integration.
We are happy to provide consultancy services to law firms engaged in transactions involving the regulated sector or to act directly for clients alongside other advisers on regulatory aspects.
